AVISA Terms & Conditions
1. Introduction
Welcome to AVISA.
These Terms & Conditions (“Terms”) govern your access to and use of the AVISA mobile application, website, web portals, and related services (collectively, the “Platform”), operated by AVISA (“AVISA,” “we,” “our,” or “us”).
By accessing, registering for, browsing, or using the Platform, you agree to be legally bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.
These Terms apply to all users of the Platform, including but not limited to:
- donors,
- fundraiser organizers,
- orphanages,
- beneficiaries,
- schools,
- healthcare-related partners,
- ambassadors,
- referral partners,
- volunteers,
- visitors,
- and any organization or institution interacting with AVISA.
2. About AVISA
AVISA is a social impact and fundraising platform designed to connect individuals, donors, organizations, and verified institutions with causes in need of support, including but not limited to:
- education support,
- orphanage care,
- healthcare assistance,
- emergency social aid,
- child welfare,
- and other approved community impact initiatives.
AVISA aims to improve transparency, accountability, digital access, and trust in fundraising and aid distribution across Africa, beginning with Cameroon.
AVISA may provide tools for:
- fundraising campaign creation,
- donations to verified causes,
- orphanage profile support,
- public fundraising,
- donor engagement,
- beneficiary visibility,
- campaign updates,
- referral and ambassador participation,
- impact storytelling,
- and related support services.
AVISA is a platform facilitator and technology provider. Except where explicitly stated, AVISA does not act as a bank, insurer, investment advisor, charity regulator, escrow agent, or trustee.
3. Eligibility
To use AVISA, you must:
- be at least 18 years old;
- have the legal capacity to enter into a binding agreement;
- provide accurate, complete, and truthful information;
- comply with all applicable laws and regulations.
If you use AVISA on behalf of an organization, institution, orphanage, school, clinic, company, or any other entity, you represent and warrant that:
- you have the legal authority to bind that entity to these Terms; and
- the entity agrees to be responsible for your actions on the Platform.
AVISA may require additional verification before granting access to certain features.
4. Geographic Availability
AVISA is currently available in Cameroon, unless otherwise announced by AVISA.
Access to certain features may be restricted based on:
- country,
- region,
- payment availability,
- legal requirements,
- regulatory considerations,
- operational readiness,
- verification capacity,
- or risk controls.
AVISA reserves the right to expand, limit, suspend, or modify geographic availability at any time.
5. Our Role and Platform Scope
AVISA provides a digital platform that helps users discover, create, manage, support, and monitor approved fundraising activities.
Unless expressly stated otherwise:
- AVISA does not guarantee that any fundraiser will reach its goal.
- AVISA does not guarantee that every beneficiary outcome will occur exactly as described.
- AVISA does not assume ownership of donated funds unless specifically required for processing or compliance purposes.
- AVISA does not independently supervise every off-platform action taken by campaign organizers, beneficiaries, or partner institutions.
- AVISA does not provide banking, lending, insurance, tax, investment, or legal advisory services.
AVISA may verify certain users, organizations, orphanages, campaigns, or documents, but verification does not constitute a guarantee of performance, honesty, financial outcome, or legal compliance beyond AVISA’s internal review standards.
6. User Accounts
To access certain services, you may need to create an account.
You agree to:
- provide true, accurate, current, and complete information;
- keep your login credentials secure;
- maintain the confidentiality of your password;
- promptly update your account details if they change;
- notify AVISA immediately of unauthorized access or suspicious activity.
You are responsible for all activities conducted through your account unless caused solely by AVISA’s proven negligence or security failure.
AVISA reserves the right to:
- refuse registration,
- request additional verification,
- suspend limited access,
- restrict specific features,
- or terminate accounts that violate these Terms or create risk to the Platform.
7. Account Verification and KYC / Due Diligence
To maintain trust and comply with fraud prevention and applicable legal obligations, AVISA may require identity and organizational verification, including but not limited to:
- government-issued identification,
- business or organization registration documents,
- proof of authority,
- bank or mobile money details,
- beneficiary documentation,
- proof of relationship to a cause,
- orphanage licenses or authorization,
- supporting evidence for emergencies or sensitive cases,
- photographs, videos, invoices, quotations, school records, medical references (where appropriate and lawful).
AVISA may:
- approve,
- reject,
- delay,
- suspend,
- or re-review any account, campaign, or organization at its discretion.
Failure to provide requested verification may result in:
- delayed onboarding,
- campaign removal,
- payout restriction,
- account suspension,
- or permanent termination.
8. Fundraising Campaigns
8.1 Campaign Creation
Campaign organizers must ensure that all campaign information is:
- truthful,
- complete,
- current,
- non-misleading,
- respectful,
- lawful,
- and supported by verifiable facts where required.
8.2 Organizer Responsibilities
Campaign organizers are solely responsible for:
- the accuracy of campaign content,
- lawful use of donated funds,
- honoring stated campaign purposes,
- providing updates where appropriate,
- cooperating with AVISA reviews,
- maintaining transparency with donors,
- and using funds only for the represented cause.
8.3 Campaign Approval
AVISA may require review and approval before a campaign becomes publicly visible.
AVISA may:
- request edits,
- request evidence,
- limit visibility,
- pause donations,
- reject campaigns,
- or remove campaigns at any time.
8.4 No Guarantee of Success
AVISA does not guarantee:
- visibility,
- donor reach,
- campaign success,
- virality,
- payout timing beyond reasonable processing conditions,
- or achievement of campaign goals.
9. Orphanage Profiles and Institutional Fundraising
Orphanages and other institutional beneficiaries using AVISA must:
- provide accurate institutional information;
- submit valid registration or legal existence documentation where required;
- demonstrate authority to receive and use funds;
- comply with child protection and ethical representation standards;
- use funds only for legitimate and approved welfare purposes;
- maintain transparency and cooperation with AVISA;
- not exploit or misrepresent children or vulnerable persons for fundraising.
AVISA reserves the right to:
- verify orphanages before onboarding,
- require periodic re-verification,
- request supporting records or reports,
- suspend orphanage fundraising access,
- hold or redirect funds where risk is identified,
- remove profiles that violate trust or child protection standards.
AVISA may impose additional child safeguarding and representation requirements for any content involving minors.
10. Donations
10.1 Voluntary Contributions
All donations made through AVISA are voluntary.
10.2 Donation Authorization
By donating, you authorize AVISA and/or its third-party payment processors to charge your selected payment method for the amount you choose, including any optional tips or fees you elect to cover.
10.3 No Ownership Rights
A donation does not grant the donor:
- ownership rights,
- control over campaign operations,
- voting power,
- equity,
- repayment rights,
- or financial return.
10.4 Donor Acknowledgment
By donating, you acknowledge that:
- donations are made in support of a stated cause;
- AVISA is a facilitator, not the direct beneficiary (unless expressly stated);
- outcomes may vary;
- campaign goals may not be fully achieved;
- some campaigns involve third-party beneficiaries and real-world uncertainties.
11. Fees and Charges
AVISA may charge platform fees, service fees, administrative fees, or other disclosed charges.
At the time of these Terms, unless otherwise stated on the Platform:
- 10% platform fee may apply to general fundraising campaign donations.
All applicable fees will be disclosed on the Platform and may change from time to time.
AVISA reserves the right to:
- modify fee structures,
- run fee promotions,
- waive fees selectively,
- introduce premium or enterprise services,
- or adjust pricing for new categories.
12. Payouts, Disbursements, and Holds
AVISA may facilitate disbursement of funds to approved organizers, orphanages, or authorized recipients.
Payouts may be subject to:
- identity verification,
- organizational verification,
- payment provider availability,
- internal risk checks,
- fraud review,
- compliance screening,
- documentation completeness,
- milestone-based release,
- or manual approval.
AVISA may delay, hold, restrict, split, reverse, or cancel payouts if it reasonably believes there is:
- fraud,
- misrepresentation,
- misuse risk,
- legal non-compliance,
- sanctions exposure,
- money laundering risk,
- child protection concern,
- dispute,
- chargeback,
- unauthorized activity,
- or any threat to donor trust or platform integrity.
Where legally permitted, AVISA may reallocate, freeze, refund, or otherwise manage funds in accordance with its policies and applicable law if a campaign is found to be fraudulent, inactive, prohibited, misleading, or unsafe.
13. Refunds and Reversals
Donations made through AVISA are generally non-refundable, except:
- where required by law;
- where payment was unauthorized;
- where duplicate payment occurred;
- where a technical processing error occurred;
- where AVISA’s Giving Guarantee, Refund Policy, or a specific campaign protection policy applies;
- where AVISA determines in its sole reasonable discretion that a refund is appropriate to protect users or the integrity of the Platform.
Refund requests may be denied if:
- funds have already been validly disbursed,
- the campaign complied with Platform rules,
- the donor simply changed their mind after a valid donation,
- the request is outside the allowed policy window,
- or insufficient evidence is provided.
Approved refunds may be subject to:
- payment processor rules,
- original payment method limitations,
- partial refund conditions,
- or timing delays outside AVISA’s direct control.
14. Prohibited Campaigns and Prohibited Activities
You may not use AVISA for any unlawful, deceptive, abusive, harmful, or prohibited purpose.
This includes, without limitation:
- fraud, scams, or deceptive fundraising;
- false emergencies or fabricated stories;
- money laundering or terrorist financing;
- hate speech, extremism, or incitement to violence;
- support for criminal organizations;
- bribery, corruption, or sanctions evasion;
- exploitative or harmful child-related content;
- campaigns involving abuse, trafficking, or exploitation;
- misleading medical claims;
- unauthorized healthcare fundraising;
- adult sexual services or exploitation;
- political manipulation or unlawful political financing (unless expressly permitted by AVISA);
- discrimination or harassment;
- content that violates privacy, dignity, or consent;
- fundraising for weapons, illegal substances, or contraband;
- impersonation of individuals or institutions;
- use of stolen images or unauthorized content;
- fundraising unrelated to AVISA-approved categories where required.
AVISA may remove or report prohibited activity without notice.
15. Child Protection and Sensitive Content
Because AVISA may support child welfare, orphanage care, and vulnerable populations:
- all content involving minors must be lawful, respectful, necessary, and ethically appropriate;
- users must have proper authority or consent where required;
- exploitative, graphic, humiliating, or dignity-violating representations are strictly prohibited;
- AVISA may blur, remove, reject, or restrict sensitive content;
- AVISA may require additional documentation before approving campaigns involving children or vulnerable persons.
AVISA reserves the right to prioritize child protection over campaign visibility or fundraising speed.
16. User Content
Users may upload text, images, videos, documents, updates, and other content (“User Content”).
You represent and warrant that:
- you own the content or have the legal right to use it;
- the content is accurate and not misleading;
- the content does not violate privacy, publicity, copyright, trademark, or other rights;
- the content does not violate any law or these Terms.
You retain ownership of your User Content, but you grant AVISA a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to:
- host,
- store,
- display,
- reproduce,
- distribute,
- adapt,
- moderate,
- review,
- translate,
- use for security, fraud prevention, operations, communications, impact reporting, and promotional purposes related to AVISA.
AVISA may remove or restrict User Content at any time.
17. Platform Communications
By using AVISA, you agree that AVISA may send you:
- account notifications,
- donation confirmations,
- campaign updates,
- security alerts,
- policy changes,
- support communications,
- administrative notices,
- promotional communications (subject to applicable opt-out rights),
- SMS, email, push notifications, or in-app messages.
You are responsible for ensuring your contact details remain accurate.
18. Ambassadors, Referrals, and Promotional Partners
If AVISA offers ambassador, referral, volunteer, or partner programs:
- participation may be subject to separate agreements or policies;
- such participants may not misrepresent AVISA;
- they may not make unauthorized promises, legal claims, medical claims, tax claims, or fundraising guarantees;
- commissions, rewards, or recognition structures (if any) may be governed by separate terms;
- AVISA may suspend or terminate participation at any time.
Participation in such programs does not create:
- employment,
- agency,
- partnership,
- franchise,
- or joint venture status, unless expressly agreed in writing.
19. Third-Party Services
AVISA may rely on third-party providers for:
- payment processing,
- mobile money,
- SMS,
- cloud hosting,
- analytics,
- verification tools,
- healthcare integrations,
- maps,
- communication services,
- or other operational functions.
Your use of certain features may also be subject to third-party terms.
AVISA is not responsible for:
- outages,
- service interruptions,
- third-party errors,
- banking delays,
- mobile money delays,
- provider restrictions,
- or losses caused by third-party systems outside AVISA’s reasonable control.
20. Privacy and Data Protection
Your use of AVISA is also governed by the AVISA Privacy Policy, which explains how personal data is collected, used, stored, shared, and protected.
By using AVISA, you acknowledge that:
- AVISA may process personal and organizational data for operational, legal, trust, security, and service delivery purposes;
- data may be used for verification, fraud prevention, customer support, analytics, reporting, and compliance;
- some data may be shared with payment processors, verification providers, legal authorities, or trusted service providers where necessary and lawful.
Where applicable, users must ensure they have the right to upload or share personal data relating to beneficiaries, children, or third parties.
21. Intellectual Property
All AVISA trademarks, logos, designs, branding, interface elements, software, workflows, documentation, and proprietary content (excluding User Content) are owned by or licensed to AVISA and protected by applicable intellectual property laws.
You may not:
- copy,
- modify,
- distribute,
- reverse engineer,
- scrape,
- sell,
- license,
- or commercially exploit any part of the Platform without prior written permission from AVISA.
Unauthorized use of AVISA branding is strictly prohibited.
22. Feedback and Suggestions
If you submit ideas, feedback, suggestions, feature requests, or improvements to AVISA, you agree that AVISA may use them without restriction, compensation, or obligation to you.
23. Suspension, Restriction, and Termination
AVISA may, with or without prior notice where legally permitted:
- suspend or terminate accounts,
- remove campaigns,
- freeze access,
- hold funds,
- block payouts,
- disable features,
- restrict visibility,
- or refuse future use of the Platform,
if AVISA reasonably believes that:
- these Terms were violated;
- fraud or abuse may be occurring;
- a legal or regulatory risk exists;
- donor trust is at risk;
- child protection concerns arise;
- required verification is missing;
- the Platform or other users may be harmed.
You may stop using AVISA at any time.
Termination does not automatically eliminate:
- prior obligations,
- outstanding investigations,
- fee obligations,
- legal claims,
- reporting duties,
- or rights that survive termination.
24. Disclaimers
To the maximum extent permitted by law:
- AVISA is provided on an “as is” and “as available” basis.
- AVISA does not warrant uninterrupted, error-free, secure, or always-available service.
- AVISA does not guarantee campaign success, donation volume, or beneficiary outcomes.
- AVISA does not guarantee that all content posted by users is complete, accurate, or reliable.
- AVISA disclaims all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted access, except where such disclaimers are prohibited by law.
25. Limitation of Liability
To the fullest extent permitted by law, AVISA and its founders, directors, officers, employees, affiliates, contractors, partners, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or loss-of-profit damages arising out of or related to:
- use of or inability to use the Platform;
- donations or fundraising outcomes;
- delays in payouts;
- campaign misrepresentation by users;
- unauthorized access caused by third parties;
- third-party payment processor failures;
- service interruptions;
- data loss outside AVISA’s reasonable control;
- decisions made based on Platform content.
Where liability cannot be excluded, AVISA’s total aggregate liability for claims arising from the Platform shall not exceed the greater of:
- the total amount of fees actually paid by you to AVISA in the six (6) months preceding the event giving rise to the claim; or
- the minimum amount required by applicable law.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
26. Indemnification
You agree to defend, indemnify, and hold harmless AVISA and its affiliates, officers, directors, employees, contractors, and partners from and against any claims, losses, liabilities, damages, costs, or expenses (including reasonable legal fees) arising out of or related to:
- your use of the Platform;
- your campaign or donations;
- your breach of these Terms;
- your violation of law;
- your User Content;
- your misuse of funds;
- your violation of third-party rights;
- your misrepresentation of authority or identity.
27. Tax and Legal Responsibility
AVISA does not provide tax or legal advice.
Users are solely responsible for determining:
- whether donations received or made have tax consequences,
- whether any reporting obligations apply,
- whether they require receipts, accounting treatment, or regulatory filings,
- whether they need professional legal, tax, or compliance advice.
Where AVISA offers donation receipts, acknowledgments, or platform records, these are provided for administrative purposes and do not constitute legal or tax guarantees unless explicitly stated.
28. Compliance with Laws
You agree to comply with all applicable:
- laws,
- financial regulations,
- anti-money laundering rules,
- anti-fraud rules,
- child protection requirements,
- data protection obligations,
- sanctions restrictions,
- consumer protection laws,
- charity or nonprofit regulations,
- and fundraising-related legal requirements.
AVISA may cooperate with:
- regulators,
- law enforcement,
- payment providers,
- courts,
- and authorized government authorities,
where required or reasonably necessary.
29. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Cameroon, without regard to conflict of law principles, except where mandatory consumer protection laws require otherwise.
30. Dispute Resolution
Before filing a formal legal claim, you agree to first contact AVISA and attempt to resolve the dispute in good faith.
AVISA encourages:
- internal complaint resolution,
- good-faith negotiation,
- mediation where appropriate.
If a dispute cannot be resolved amicably, it shall be submitted to the competent courts of Cameroon, unless applicable law requires another forum.
Nothing in these Terms prevents AVISA from seeking urgent injunctive or protective relief where necessary.
31. Changes to These Terms
AVISA may update or revise these Terms from time to time.
When we do:
- we will update the “Last Updated” date;
- we may notify users through the Platform, email, SMS, or other reasonable means;
- continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
If you do not agree to revised Terms, you must stop using the Platform.
32. Force Majeure
AVISA will not be liable for delay or failure to perform caused by events beyond its reasonable control, including:
- network outages,
- mobile money disruptions,
- payment processor downtime,
- power failures,
- cyberattacks,
- strikes,
- natural disasters,
- epidemics,
- government actions,
- civil unrest,
- war,
- or telecommunications failures.
33. Severability
If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.
34. No Waiver
Failure by AVISA to enforce any right or provision under these Terms shall not constitute a waiver of that right or provision.
35. Entire Agreement
These Terms, together with any applicable:
- Privacy Policy,
- Giving Guarantee Policy,
- Refund Policy,
- Community Standards,
- Campaign Rules,
- Orphanage Verification Policy,
- Child Protection Guidelines,
- Ambassador Terms,
- and any other policies referenced on the Platform,
constitute the entire agreement between you and AVISA regarding use of the Platform.
